What are we to make of the fact that Musk is doing this right under the nose of SEC and DOJ investigations into embezzlement and self dealing? WSJ reported these investigations last year, *months before* the diverted NVIDIA chips, talent poaching, and now FSD IP transfer discussion.
Fair enough. Would firms like Blackrock expose themselves to any liability for voting āyesā on such an obviously flawed proxy, against the guidance of their proxy advisors? When I look at Blackrockās stated proxy voting principles, it emphasizes things like board independence, oversight, etc.
Isnāt the notion of ācorporate wasteā a valid enough reason to vote differently on this proxy? If ISS and Glass Lewis do their jobs well, theyāll highlight it as an issue.
